1. About Evolve Blue LLC
Evolve Blue LLC is a limited liability company organized under the laws of the Commonwealth of Pennsylvania. Our principal place of business is 630 Freedom Business Drive, King of Prussia, PA 19406 USA. We provide IT staffing and augmentation services ("Evolve Talent") and technology delivery services ("Evolve Technology") to enterprise and government clients across the United States.
Evolve Blue is a National Minority Supplier Development Council (NMSDC) certified Minority Business Enterprise (MBE), registered in SAM.gov, and operates as a W2 employer for all contractor placements.
2. Acceptance of Terms
These Terms constitute a legally binding agreement between you ("User," "Client," "Candidate," or "Visitor") and Evolve Blue LLC. By:
- accessing or browsing the Site;
- submitting a contact form, resume, or staffing request;
- engaging Evolve Blue under a Master Services Agreement (MSA), Statement of Work (SOW), or staffing order; or
- accepting a W2 employment offer from Evolve Blue,
you confirm that you have read and understood these Terms and agree to be bound by them and our Privacy Policy, which is incorporated by reference. If you are acting on behalf of a company, you confirm you have authority to bind that company.
3. Site Use and Permitted Conduct
3.1 Permitted Use
You may access the Site for lawful purposes, including: researching Evolve Blue's services, submitting candidate profiles or staffing requests, accessing public content, and contacting us for business inquiries.
3.2 Prohibited Conduct
You agree not to:
- Use the Site for any unlawful purpose or in violation of applicable federal, state, or local law.
- Scrape, harvest, or systematically extract data from the Site using automated tools without prior written consent.
- Introduce viruses, malware, or any harmful code to the Site or its infrastructure.
- Attempt to gain unauthorized access to any portion of the Site, its servers, or connected systems.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Interfere with or disrupt the integrity or performance of the Site or services.
- Use the Site to transmit unsolicited communications (spam).
- Circumvent, disable, or otherwise interfere with security-related features of the Site.
- Collect or store personal data about other users without authorization.
4. Staffing and Talent Services
4.1 No Guarantee of Placement
Submitting a resume, profile, or contact form does not guarantee employment or a contract placement. Submissions depend on role availability, client needs, skills matching, background screening results, and our professional assessment.
4.2 Candidate Representations
By submitting your profile or applying for a role, you represent and warrant that:
- All information you provide (resume, certifications, work history, clearance level) is accurate, current, and complete.
- You are legally authorized to work in the United States.
- You have not omitted material information that would be relevant to a placement decision.
- You will notify Evolve Blue promptly of any changes to your availability, eligibility, or disclosed credentials.
Misrepresenting your qualifications, credentials, or eligibility is grounds for immediate disqualification or termination of any active engagement, with no liability to Evolve Blue.
4.3 W2 Employment Terms
All contractor placements by Evolve Blue are made on a W2 basis. Specific employment terms — compensation, benefits, IP assignment, confidentiality, and non-solicitation — are set out in the separate W2 Employment Agreement and offer letter. If these Terms conflict with a signed employment agreement, the employment agreement controls.
4.4 Non-Circumvention
Clients who receive candidate profiles from Evolve Blue agree not to directly engage, hire, or contract with any presented candidate outside an Evolve Blue agreement. This applies for 12 months from the date of submission, unless Evolve Blue provides prior written consent and receives the applicable finder's fee.
5. Technology Services
5.1 Governing Documents
Technology delivery engagements — including application modernization, enterprise integration, workflow automation, AI tools, and cloud operations — are governed by a mutually signed Master Services Agreement (MSA) and Statement of Work (SOW). These Terms cover website use and general service inquiries. The MSA and SOW govern delivery, payment, intellectual property, and warranty terms for specific technology work.
5.2 Government Task Orders
Services performed under a government prime contract, subcontract, or IDIQ task order are also governed by applicable FAR/DFARS clauses, agency-specific requirements, and the prime contractor's flow-down provisions. Where there is a conflict, federal law and contract clauses take precedence over these Terms.
6. Intellectual Property
6.1 Evolve Blue Content
All content on the Site — including text, graphics, logos, icons, images, data compilations, and software — is owned by Evolve Blue LLC or its licensors. It is protected by U.S. copyright law (17 U.S.C. § 101 et seq.), trademark law, and other intellectual property laws. The Evolve Blue name, logo, and service marks are trademarks of Evolve Blue LLC.
You may view, print, and download content for personal, non-commercial reference only. You may not reproduce, distribute, modify, publicly display, or use any content for commercial purposes without Evolve Blue's prior written consent.
6.2 User-Submitted Content
By submitting content to Evolve Blue — resumes, forms, messages, or other materials — you grant Evolve Blue a non-exclusive, royalty-free, worldwide license to use, store, process, and transmit that content solely to provide the services you requested. You keep ownership of what you submit and may request deletion, subject to applicable retention obligations.
7. Confidentiality
Information shared between Evolve Blue and a Client or Candidate during a business engagement — such as client names, talent pipelines, pricing, technical architecture, and staffing program details — is treated as confidential. Formal confidentiality and non-disclosure obligations are set out in the applicable MSA or NDA. This website is not a confidential channel. Do not submit sensitive technical, classified, or proprietary information through contact forms.
8. Equal Opportunity and Anti-Discrimination
Evolve Blue is an equal opportunity employer and service provider. We do not discriminate in staffing, hiring, or service delivery on the basis of race, color, religion, sex, national origin, age, disability, genetic information, veteran status, sexual orientation, gender identity, or any other characteristic protected under federal law (Title VII, ADEA, ADA, GINA, VEVRAA, Section 503) or state law.
As a federal subcontractor, Evolve Blue maintains an Affirmative Action Program (AAP) under Executive Order 11246 and OFCCP regulations. Candidates or clients who believe they have experienced discriminatory treatment may contact our HR team or file a complaint with the EEOC at eeoc.gov.
9. Disclaimers and Limitation of Liability
9.1 Website Disclaimer
THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. EVOLVE BLUE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. EVOLVE BLUE DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVOLVE BLUE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE OR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EVOLVE BLUE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO WEBSITE USE EXCEED ONE HUNDRED U.S. DOLLARS ($100). LIABILITY ARISING FROM SPECIFIC SERVICE ENGAGEMENTS IS GOVERNED BY THE APPLICABLE MSA OR EMPLOYMENT AGREEMENT.
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, limitations apply to the maximum extent permitted by law.
9.3 Indemnification
You agree to defend, indemnify, and hold harmless Evolve Blue LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising from: (a) your use of the Site in violation of these Terms; (b) your misrepresentation of credentials, eligibility, or identity; or (c) your violation of any applicable law or third-party right.
10. Governing Law and Dispute Resolution
10.1 Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. For matters involving federal government contracts, U.S. federal law governs where it conflicts with Pennsylvania law.
10.2 Dispute Resolution
Any dispute arising from these Terms or the Site must first go through good-faith negotiation. If not resolved within 30 days, the dispute will go to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules, held in Philadelphia, Pennsylvania. The arbitrator's decision is final and enforceable in any court of competent jurisdiction.
Class action waiver: All arbitration or legal proceedings must be on an individual basis. You waive any right to join a class action lawsuit or class-wide arbitration.
Either party may still seek emergency injunctive relief in state or federal courts in Montgomery County or Philadelphia County, Pennsylvania, to prevent irreparable harm while a dispute is resolved.
10.3 Government Disputes
Disputes from government contract performance are governed by the Contract Disputes Act (41 U.S.C. §§ 7101–7109) and applicable agency dispute resolution procedures — not these Terms.
11. Accessibility
Evolve Blue is committed to making its website accessible to people with disabilities. We follow the Americans with Disabilities Act (ADA), Section 508 of the Rehabilitation Act (for government-facing content), and WCAG 2.1 Level AA guidelines. 12. Export Controls and Sanctions Compliance
The Site and our services are for use within the United States. Evolve Blue complies with U.S. export control laws (EAR, ITAR) and OFAC sanctions rules. You agree not to access or use the Site from a sanctioned country or in violation of U.S. export control laws. All personnel placed by Evolve Blue on U.S. government programs are verified as authorized persons under applicable export control requirements.
13. Modifications to Terms
Evolve Blue may update these Terms at any time. We will post changes here with an updated effective date. Continuing to use the Site after the effective date means you accept the revised Terms. For material changes that affect active service engagements, we will notify you directly by email.
We recommend bookmarking this page and checking it from time to time. The most current version always governs.
14. Severability and Entire Agreement
If any provision of these Terms is found unenforceable or invalid, it will be changed to the minimum extent needed to make it enforceable. The remaining provisions stay in full force and effect.
These Terms, together with the Privacy Policy and any signed MSA, SOW, or Employment Agreement, form the entire agreement between you and Evolve Blue on this subject. They replace all prior communications, representations, or agreements.
